B2B Joint Promotions Agreement

By participating in any Hydrologix B2B Joint Promotions Program, you acknowledge that you have read and understood the detailed terms of the Agreement and agree to be bound by them.

- Purpose: Enable joint marketing campaigns or giveaways to attract new clients and expand exposure.

- Promotion Details: Campaign type, duration, and responsibilities outlined in separate campaign addenda.
- Branding & Intellectual Property: Each party retains ownership of its branding; co-branding must be approved in writing.
- Revenue & Costs: Any revenue splits, costs, or rewards are defined per campaign.
- Tracking & Reporting: Campaign results are shared between both parties.
- Term & Termination: Agreement remains active until terminated with 30 days’ notice; individual campaigns may have separate durations.
Legal Agreement Content:
- Purpose: Define the scope of joint marketing promotions between Hydrologix and Partner.
- Campaign Scope: Each joint promotion will be described in an addendum specifying campaign type, duration, deliverables, and responsibilities.
- Branding & Intellectual Property: Each party retains ownership of its trademarks, logos, and copyrighted materials. Use of logos or co-branding requires prior written approval.
- Costs & Revenue: Any shared costs, rewards, or revenue splits will be defined in the campaign addendum.
- Reporting: Both parties agree to provide performance metrics and results for each campaign.
- Confidentiality: Campaign plans, strategies, and client information will remain confidential.
- Term & Termination: Either party may terminate the agreement with thirty (30) days’ written notice. Termination does not affect obligations under ongoing campaigns.
- Limitation of Liability: Hydrologix is not liable for any indirect or consequential losses arising from joint promotions.
- Partner Consent to Communications: By participating in this program, you consent to receive electronic communications from Hydrologix regarding program updates, rewards, and relevant information.
- Client Communications: You authorize Hydrologix to send electronic communications directly to any referred clients on your behalf to facilitate program participation and rewards. You represent that you have the authority to allow Hydrologix to communicate with these clients in connection with the program.
- Use of Partner Data: By providing your information, you authorize Hydrologix to collect, use, store, and disclose such information as reasonably necessary to administer the program and deliver discounts or rewards.
- Opt-Out: Your clients may opt out of marketing communications at any time, but essential program notifications will still be sent.
- Electronic Agreements: You agree that all agreements, notices, disclosures, and communications provided electronically satisfy any legal requirement that such communications be in writing.
- Governing Law and Venue
This Agreement shall be governed by, and construed in accordance with, the laws of the state of Florida without regard to its conflict of laws principles. Any dispute, claim, or controversy arising out of or relating to this Agreement, including its breach, termination, or validity, shall be resolved exclusively in the state or federal courts located within Tampa, Florida.
No Signature Required; Agreement by Participation
By signing up for or participating in any Hydrologix Partnership Program—including the B2B Referral Program, B2B Joint Promotions, or Client-Led Referrals—you acknowledge that you have read, understood, and fully agree to the terms and conditions presented on this page. Your participation constitutes a binding agreement with Hydrologix, and no additional signature or written acknowledgment is required.
